Conditions of Sale

These Conditions of Sale ("Conditions") govern all purchases and transactions with Khione Thermal LLC ("Khione," "Khione Thermal," "we," or "us"), a wholesale distributor of heavy-duty truck cooling system parts, based in Bakersfield, California. By placing an order or opening an account with Khione Thermal, you ("Buyer" or "Customer") agree to be bound by these Conditions. Khione Thermal reserves the right to update these Conditions at any time; continued ordering after notice of an update constitutes acceptance of the revised Conditions.

1. Minimum Order Requirements

Khione Thermal operates exclusively on a business-to-business (B2B) basis. All order minimums are subject to the sole discretion of the assigned Khione Thermal sales representative, who may approve exceptions based on account potential, relationship, or other commercial considerations. No minimum order threshold is binding where a sales representative has authorized an exception in writing.

Customers with an established Khione Thermal account may be eligible for adjusted order guidelines based on their account history and relationship. Contact your sales representative for details.

2. Warranty

Standard Product Warranty

Khione Thermal warrants that products sold are free from defects in materials and workmanship for twelve (12) months from the date of invoice, unless a different period is expressly stated on the product listing or in a separate written agreement. This warranty applies to the original purchasing business entity only and is non-transferable. Upon review and approval of a warranty claim, Khione Thermal will, at its discretion, issue a credit equal to the invoiced value of the defective item. Claims are processed within five (5) business days.

To initiate a return, locate your order under "Order History" and proceed with "Warranty Claim." You can also email admin@khionethermal.com with your invoice date, order number, part number(s), and reason for return. If approved, credit to your account will be issued within five (5) business days.

Warranty Exclusions

This warranty does not cover defects, damage, or failure arising from: (a) installation not performed by a qualified technician; (b) use of incompatible coolants, chemicals, or fluids; (c) physical damage, corrosion, or alteration after purchase; (d) failure to follow manufacturer guidelines; (e) use outside the part's rated specifications; or (f) neglect, accident, or causes beyond Khione Thermal's reasonable control.

OEM and Third-Party Warranties

Certain products carry OEM or third-party manufacturer warranties that may differ in scope or duration. Where applicable, those warranty terms will be provided with shipment. Nothing in these Conditions limits any OEM or third-party warranty more favorable to the Customer.

Limitation of Warranty Liability

Khione Thermal's sole obligation under this warranty is limited to account credit. Khione Thermal shall not be liable for labor costs, equipment downtime, loss of profits, or any indirect, incidental, special, or consequential damages arising from a defective part, to the fullest extent permitted by applicable law.

3. Returns & Refunds

To initiate a return or warranty claim, locate your order under "Order History" and proceed with "Warranty Claim." You may also email admin@khionethermal.com with your invoice date, order number, part number(s), and reason for return. If approved, credit to your account will be issued within five (5) business days.

4. Payment Terms

Payment is due upon receipt for new or unapproved accounts.

Accepted payment methods: ACH transfer (preferred), wire transfer, company check (orders ship after check clears), cash, and major credit cards (2.5% processing fee).

6. Governing Law & Dispute Resolution

These Conditions are governed by the laws of the State of California without regard to conflict-of-law provisions. Venue for any legal proceedings shall be Kern County, California. Any claim arising under these Conditions must be commenced within one (1) year of the date the claim arose. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

7. General Provisions

These Conditions constitute the entire agreement between Khione Thermal and the Customer regarding the sale of goods and supersede all prior representations or agreements on the same subject. No modification is binding unless made in writing and signed by an authorized Khione Thermal representative. The Customer may not assign its rights or obligations without Khione Thermal's prior written consent.
